Payment Agreement
This is an earlier version. Read the current version
This Payment Agreement is between you and AVERENTIUM LLC ("Averentium") and is part of the agreement described in the Terms of Service. It applies whenever you pay for a job or are paid for one through Help.
1.How money moves
When a poster pays for a job, the poster pays Averentium. Averentium holds the job amount for the worker and, after the poster confirms completion, pays the worker by a separate transfer to the payout account Stripe provides inside Help. Averentium is the merchant on the poster's charge and the payer of the worker's transfer; it is not a bank and does not offer a stored-value wallet. A worker's balance is held, and payouts are made, by Stripe.
2.What a poster pays
Before you post, Help shows four lines: the job amount, the Help service fee, the payment cost and the total. The job amount goes to the worker in full. The Help service fee is two percent of the job amount and is Averentium's only charge for a job. The payment cost is what it costs to move the money by the method you chose, passed through at cost and rounded up to the cent; it differs by method, and a bank account is usually the cheapest. The total is what you pay. A tip carries no Help service fee: the worker receives all of it, and you pay only the cost of sending it. Prices are in United States dollars. Averentium may change the fee or the payment cost for future jobs; the lines shown to you before you post are the ones you pay.
3.Paying
You may pay with Apple Pay, a card, Cash App Pay or a United States bank account. Posting a job authorises the charge for the total shown, and the job is funded before a worker can accept it. A bank account payment takes several days to settle, and the worker's payment for that job is not released until it has. When you pay for the first time, a customer record is created for you with Stripe automatically; you never create a Stripe login. A payment method is saved for later only if you choose to save it. If a payment fails you are told why, and the job is not posted until a payment succeeds. You agree not to dispute a charge with your bank or card issuer for a job that was done as described; raise it with Help first.
4.Confirming completion
The poster confirms completion in the app, and confirming releases the job amount to the worker. A poster agrees to confirm promptly and honestly when the work is done as described, and to raise any problem through Help before or instead of confirming. If a poster neither confirms nor raises a problem within a reasonable time after the worker reports completion, Averentium may review the record of the job and release the payment. Averentium may hold or reverse a release where the record shows the job was not done as described.
5.Being paid as a worker
You are paid the full job amount, plus any tip, by transfer to your payout account after completion is confirmed. Stripe pays your available balance to your bank account on a daily schedule once the funds are available, and may take longer for a first payout or where Stripe requires a review. Instant payouts, where offered, may carry a fee shown to you before you request one. Averentium pays Stripe's fees for your payout account; you are not charged for it. Your balance, its history and your bank details are shown in the app through screens Stripe provides.
6.Worker setup
You cannot accept a paid job until worker setup is complete and Stripe has enabled transfers to your payout account. Setup collects your identity, date of birth, taxpayer identification number and bank details directly into Stripe, inside Help; Averentium never receives or stores your Social Security number or your bank account number. Until setup is complete you may still post jobs. If Stripe later requires more information, or restricts your account, Help tells you what is needed, and payments may be held until it is provided.
7.Cancellations and refunds
A job cancelled before a worker accepts it is refunded, together with its Help service fee. After a worker accepts, the Help service fee is not refundable, and whether the job amount is refunded depends on the work done, the record kept for the job and this agreement. Refunds go back to the payment method used and take several days to arrive. The processing cost that Stripe keeps on a refunded payment may be deducted from the refund where the law allows and where the refund is not the result of Averentium's error. A refund made after a worker has been paid may be recovered from that worker as section 9 provides, but only where the refund is the result of the worker's failure to do the job as described.
8.Chargebacks
If a poster disputes a charge with a bank or card issuer, the worker's payment for that job is held until the dispute is resolved. If the dispute is lost and the record shows the job was done as described, Averentium bears the loss and does not recover it from the worker. If it is lost because the job was not done as described, or because of the worker's conduct, the amount may be recovered from the worker as section 9 provides. A poster who disputes a charge for a job that was done as described may have their account closed and remains liable for the amount.
9.Reversals and set-off against a worker
Where this agreement allows an amount to be recovered from a worker, Averentium may reverse the transfer for that job through Stripe or deduct the amount from the worker's later payments, up to the amount involved and no more, and shows the reversal in the worker's earnings record. Averentium does not recover from a worker a loss caused by payment fraud or by a failed payment that was not the worker's doing.
10.Holds and errors
Averentium may delay or hold a payment or a transfer while a dispute, a report, a fraud review, a legal requirement or a requirement of Stripe is outstanding, and releases it when the matter is resolved. If a payment is made in error — a duplicate charge, a wrong amount, a payment to the wrong person — Averentium may correct it, and you agree to return any amount paid to you by mistake. Every movement of money is recorded in an append-only ledger, and you may ask for a statement of your own payments.
11.Taxes and reporting
You are responsible for reporting your earnings and filing and paying all federal, state, local, and other taxes applicable to you. Help and AVERENTIUM LLC do not prepare or file your personal income tax return. When required, AVERENTIUM LLC or its payment and tax reporting provider may report payments made to you to federal or state tax authorities and provide you with applicable tax documents.
The amount reported for a year is the total of the payments made to you in that year, adjusted for reversals as the law allows, and it is shown in the app as Reported Earnings beside your Help Earnings. Backup withholding is applied only when the law requires it, as the Independent Contractor Agreement describes, and is reported on your tax form. Averentium does not issue a tax form to a poster for the jobs they pay for.
12.Stripe
Payments are processed by Stripe, Inc. and its affiliates. Payout accounts are provided under the Stripe Connected Account Agreement at https://stripe.com/connect-account/legal, which incorporates the Stripe Services Agreement, and are subject to the rules of the card networks and banking systems Stripe uses. You accept that agreement by completing worker setup, as the Terms of Service describe. Stripe may decline a payment, hold funds, require information or close an account under its own agreements, and Averentium may share information with Stripe as the Privacy Policy describes.
13.Electronic records
Receipts, statements, earnings records and tax documents are provided electronically, as the Terms of Service and the Independent Contractor Agreement describe. Keep your email address current; a notice sent to the address on your account is treated as received.
14.General
This agreement is governed by the laws of the State of Florida and is subject to the informal resolution, arbitration and class action waiver provisions, the opt-out, the limitation of liability and the venue provision in the Terms of Service. Nothing in it waives a right that cannot be waived under the law that applies to you. If any provision is held unenforceable, it is limited to the extent necessary and the rest continues to apply. Changes are made as the Terms of Service describe, with a fresh acceptance; a change does not affect a payment already made.
